Agency Program Terms and Conditions
1. Introduction & General Terms Acceptance
Welcome to our Agency Program. By participating, you agree to comply with and be bound by the following terms and conditions.
Our general terms of service https://www.hype.store/legal/terms apply to both agencies and their clients. By joining the agency program, you and your clients agree to abide by these general terms.
2. Eligibility
Agencies must complete the registration process and provide accurate information. Agencies must maintain an active status to participate and receive commissions.
3. Commissions
Commission Structure:
Base commission: 20% of the client's monthly subscription revenue.
Payment Schedule:
Commissions are calculated monthly and paid within 30 days of the end of the month. Payments are made via bank transfer or PayPal.
Minimum payout threshold
₹20,000
Commission Adjustments:
Commissions are subject to adjustments based on client cancellations, refunds, or chargebacks.
4. Responsibilities
Agency Responsibilities:
Provide accurate information during registration and keep details up-to-date. Use the provided referral code or link for client sign-ups. Ensure clients adhere to the platform's terms and conditions.
Platform Responsibilities:
Provide training materials, support, and resources to agencies. Maintain accurate records of client sign-ups and commission calculations. Ensure timely payment of commissions.
5. Client Transferring Agency
Notification:
The new agency must inform the client to notify the platform of the transfer request. The client must send an official email to platform support
Verification:
The platform will verify the transfer request with the client.
Transition Period:
A 30-day transition period applies, during which the current agency receives commissions. After the transition period, commissions transfer to the new agency.
Dispute Resolution:
Any disputes related to client transfers will be resolved through the dedicated support channel.
6. Confidentiality
Agencies must maintain the confidentiality of all proprietary information, including client data, platform features, and marketing strategies.
7. Termination
By Agency:
Agencies can terminate their participation by providing 30 days' written notice.
By Platform:
The platform reserves the right to terminate any agency's participation for breach of terms or any action deemed detrimental to the platform or its clients.
Post-Termination:
Upon termination, all commissions due up to the date of termination will be paid. Agencies must cease using the platform's resources and return any proprietary materials.
8. Modifications
The platform reserves the right to modify these terms and conditions at any time. Agencies will be notified of significant changes via email.
9. Limitation of Liability
The platform is not liable for any indirect, incidental, or consequential damages arising from the agency's participation in the program.
10. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of Mumbai, India.
11. Data Protection
Compliance: Adhere to all applicable data protection laws and regulations
Data Handling: Ensure responsible handling of customer data, maintaining confidentiality and integrity.
Security Measures: Implement robust security measures to protect data from unauthorized access or breaches.
Privacy Policies: Follow our privacy policies and guidelines when managing customer data.
12. Indemnification
You agree to indemnify, defend, and hold Hypestore and its affiliates, officers, directors, employees, and agents harmless from and against any and all claims, liabilities, damages, losses, expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:
1. Your Use of the Platform: Any use of the Hypestore platform that results in damages or claims against Hypestore.
2. Breach of Terms: Any breach or alleged breach of these terms or the general terms of service by you or your clients.
3. Violation of Laws: Any violation or alleged violation of applicable laws or regulations by you or your clients.
4. Intellectual Property Infringement: Any claim that your use of the platform infringes on the intellectual property rights of any third party.
Procedure for Indemnification
Notice of Claim: You will promptly notify Hypestore of any claim or legal action.
Control of Defense: Hypestore reserves the right to assume the exclusive defense and control of any matter subject to indemnification at your expense, and you agree to cooperate with Hypestore in the defense of any such matter.
Settlement: You may not settle any claim without the prior written consent of Hypestore.
Limitation of Liability
Hypestore will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Your Use of the Platform: The use or inability to use the platform.
Unauthorised Access: Unauthorised access to or alteration of your transmissions or data.
Conduct of Third Parties: Any conduct or content of any third party on the platform.
Events Beyond Control: Any other matter relating to the platform outside of Hypestore’s reasonable control.
The total liability of Hypestore to you for any claims arising under this agreement will not exceed the amount of commissions earned by you in the preceding 12 months.
